1. Acceptance of Terms

By enrolling in, accessing, or participating in any program, service, class, event, or digital offering provided by Elite Performance Protocol LLC, you (“Participant,” “you,” or “Client”) agree to be bound by these Terms and Conditions and all applicable laws and regulations. If you do not agree, you must refrain from using the Services.

Your continued participation constitutes your ongoing acceptance of these Terms.

2. Eligibility and Participant Responsibility

To participate, you represent and warrant that:

• You are at least 18 years old, or have the consent of a legal guardian if under 18.
• You are in good physical and mental health to safely engage in exercise and nutrition activities.
• You have consulted with a qualified healthcare provider before beginning any fitness or nutrition program, especially if you have a pre-existing medical condition, injury, or are taking medications.
• You agree to accurately disclose any relevant health or injury information upon registration.
• You understand that participation is voluntary and undertaken at your own risk.

3. Nature of Services

Elite Performance Protocol LLC provides virtual coaching, fitness training, and nutritional education programs designed for general wellness, strength, and performance improvement.

• Not Medical Advice: The Company’s programs, coaching, or communications are not medical or diagnostic services, and do not replace consultation with a licensed physician or healthcare provider.
• No Guarantees: Results vary depending on individual effort, adherence, health, and other factors beyond our control. The Company makes no guarantees regarding specific outcomes, body composition changes, or performance improvements.

4. Participant Acknowledgment and Assumption of Risk

You acknowledge that participation in any physical training or nutritional program involves inherent risks, including but not limited to:

• Muscle soreness, strains, sprains, and overexertion
• Falls, collisions, or equipment-related injuries
• Dehydration, dizziness, or adverse physiological reactions
• Unforeseen medical events or complications

You voluntarily assume all risks, known or unknown, associated with your participation and release Elite Performance Protocol LLC, its owners, employees, contractors, and affiliates from any and all liability arising from injury, loss, or damage incurred during participation, as further detailed in the Liability Waiver and Release Agreement, which remains in full force alongside these Terms.

5. Payment, Subscriptions, and Cancellations

a. Payment Terms

• Payment is due at the time of registration or subscription renewal.
• By subscribing, you authorize Elite Performance Protocol LLC to charge your payment method on a recurring basis until you cancel.
• All fees are stated in U.S. dollars and are non-transferable.

b. Cancellation Policy

• You may cancel your subscription at any time via your account portal or by written notice to the Company.
• Cancellations are effective at the end of the current billing cycle.
• No refunds are issued for partially used subscription periods unless required by law.

c. Failed Payments

• If a payment fails, the Company reserves the right to suspend or terminate your access until payment is received.

6. Intellectual Property Rights

All materials provided by Elite Performance Protocol LLC—including videos, PDFs, guides, training plans, digital assets, trademarks, and brand elements—are the exclusive property of the Company and are protected by intellectual property laws.

You agree not to reproduce, distribute, record, or share any content, materials, or access credentials without prior written permission.

7. Code of Conduct

Participants agree to:

• Maintain professionalism and respect toward coaches, staff, and other participants.
• Not use the Services for unlawful, abusive, or defamatory purposes.
• Follow all safety and technical guidelines provided.
• Not share account access or program content with unauthorized individuals.

The Company reserves the right to terminate participation without refund for any violation of this Code.

8. Disclaimer of Warranties

The Services are provided “as is” and “as available” without any warranties, express or implied, including but not limited to fitness for a particular purpose, merchantability, or accuracy of information.

The Company does not warrant that the Services will be uninterrupted, error-free, or that any errors will be corrected.

9. Limitation of Liability

To the fullest extent permitted by law, Elite Performance Protocol LLC shall not be liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to:

• Physical injury, illness, or death
• Financial loss or missed opportunities
• Data loss or service interruption

The total liability of the Company for any claim shall not exceed the total amount paid by the Participant for the Services in the preceding 12 months.

10. Indemnification

You agree to indemnify, defend, and hold harmless Elite Performance Protocol LLC and its owners, employees, affiliates, and contractors from any claims, damages, losses, or expenses (including attorney’s fees) arising from your participation, conduct, or violation of these Terms.

11. Privacy and Data Use

Your personal information is collected, stored, and processed according to the Elite Performance Protocol Privacy Policy, available at [Insert URL].
By using the Services, you consent to such data handling practices.

12. Modifications and Termination

Elite Performance Protocol LLC reserves the right to:
